Terms and Conditions

1. Purpose and Identity

These Terms and Conditions govern the web design and development services provided by Vuidesign, a sole proprietorship operated by Christian Sabourdy (SIRET 983 924 374 00017), headquartered at 120 rue de Saint-Denis, 75002 Paris, France.

By confirming your order, you accept these terms in full. Vuidesign operates between Paris and Ho Chi Minh City to offer you maximum responsiveness.

2. Services Offered

Vuidesign offers three types of services:

  • Starter Pack Pro — creation or redesign of a professional website, delivered within 10 business days, fixed price, full payment upon ordering.

  • Custom web design — project defined by quote, scope detailed in a project brief, payment in two or three instalments as per the agreed schedule.

  • Technical maintenance (optional) — hosting, monthly backups and technical updates, billed quarterly or annually, no long-term commitment.

All our services are fixed-price packages — no hidden fees, no automatic renewals.

3. Pricing and Payment

Starter Pack Pro: full payment upon ordering. The schedule is not reserved and the project does not start until funds are received.

Custom design: according to the schedule defined in the quote (50% upon signing / 50% upon delivery, or 40/30/30 for longer projects). The website goes live only after full payment is received.

VAT: VAT not applicable, Art. 293 B of the French Tax Code.

Late payment (B2B): in accordance with Art. L441-10 of the French Commercial Code, any late payment incurs penalties at three times the legal interest rate, plus a flat recovery fee of €40.

4. Timelines and Triggering

Starter Pack Pro: the project runs in two successive phases — Phase 1, Narrative Strategy (2 business days) and Phase 2, Design & Development (8 business days). The overall 10-business-day period starts once two conditions are met: all required assets are received (final copy, images, logos, server access and domain name), and full payment has been received.

Custom design: the estimated timeline stated in the quote starts upon receipt of the deposit and all required assets.

Any delay on the Client’s part in providing content or approvals automatically pushes back the delivery date, with no penalty for Vuidesign.

5. Revisions and Changes

Starter Pack Pro: two (2) rounds of feedback are included in Phase 2. Requests must be submitted in a single, written batch.

Custom design: two (2) rounds of feedback per validation milestone.

Any request beyond the included rounds, or any addition outside the initially validated scope, requires a fixed-price written amendment, agreed upon before any work begins. Starter Pack Pro: a minimum charge of €150 applies to any amendment. Custom design: this minimum is set in the contract. You always know the cost before work starts.

6. Delivery and Acceptance

Delivery is notified in writing. From that notification, you have 7 calendar days to submit written reservations (non-conformities with the validated scope).

If no reservations are submitted within this period — or if you put the site into use — delivery is deemed accepted without reservation.

Vuidesign will fix, free of charge, any reproducible technical malfunction attributable to its work, reported within 30 days of acceptance.

7. Collaboration and Abandonment Clause

Meeting deadlines depends on your responsiveness. If you stop responding for more than 30 consecutive days without a legitimate reason, Vuidesign will send a formal notice. If there is no response within 15 days, the project may be unilaterally closed — all amounts paid remaining as compensation.

Reactivation: if you wish to resume a project closed under the above clause, resumption is subject to Vuidesign’s availability and to a reactivation fee — €200 for the Starter Pack Pro, an amount set in the contract for custom design.

8. Disengagement and Refunds

Disengagement during Phase 1 (Starter Pack Pro): if, at the end of the Narrative Strategy phase, no agreement is reached on the project direction, Vuidesign refunds 50% of the amount paid within 14 days. All preparatory work remains the exclusive property of Vuidesign.

Commitment in Phase 2: once the design phase has begun, the full fee is due — no refund can be granted, except for non-performance attributable to Vuidesign (refund pro rata of work not completed).

Force majeure: neither party may be held liable for a failure resulting from an event of force majeure within the meaning of article 1218 of the French Civil Code. If the impediment lasts more than 60 days, either party may terminate the contract; Vuidesign will then refund the portion of the service not performed, on a pro rata basis.

9. Intellectual Property

Subject to full payment, Vuidesign transfers to the Client, upon acceptance of delivery, the economic copyright over original creations produced for the project: reproduction rights (all media), representation rights (all means, including the Internet), adaptation rights. Transfer granted worldwide, for the full legal term of protection, for any purpose related to the Client’s activity.

Excluded from the transfer: third-party components (WordPress CMS, themes, GPL or commercial plugins, fonts, stock images, software libraries) remain governed by their own licences. Vuidesign retains ownership of its internal methods, processes and tools.

Warranty: Vuidesign warrants that its original creations do not infringe any third-party rights. The Client warrants ownership of the content it provides (copy, images, logos) and indemnifies Vuidesign against any claims in this regard.

10. Third-Party Materials

If your project requires paid assets (specific fonts, stock photos, software licences), Vuidesign will inform you in advance. Acquiring these licences for commercial use remains your responsibility and at your cost.

11. Liability

Vuidesign carries out its services with diligence and in accordance with best practices (best-efforts obligation). Vuidesign cannot be held liable for commercial performance, natural search rankings or site traffic, which depend on external factors.

Vuidesign’s total liability, for any cause, is limited to the amount effectively paid by the Client for the relevant service.

Excluded: indirect damages (loss of revenue, clientele, reputation or commercial opportunity); malfunctions resulting from Client or third-party actions; failures of third-party services (hosting provider, registrar, etc.).

12. Portfolio and Confidentiality

Unless a Non-Disclosure Agreement (NDA) is signed beforehand, Vuidesign reserves the right to showcase completed work (screenshots, site URL, results) in its portfolio and on social media. You may withdraw this right at any time by written request, for future use.

Confidentiality: each party undertakes not to disclose the other party’s confidential information (commercial data, access credentials, strategy) for the duration of the contract and for 2 years after it ends.

13. Technical Maintenance (Optional)

Included: hosting on secure European servers, full monthly backups, technical updates (system and plugins).

Excluded: any content or design modifications, new feature development — these are handled via a separate fixed-price amendment.

Important: as backups are monthly, data created since the last backup may be lost in the event of a restore. By subscribing to this service, you accept this frequency.

Billing: quarterly or annual, paid in advance, no long-term commitment — cancellable in writing before each new period. Upon cancellation, a full backup is provided within 15 days.

Personal data: in the context of hosting, Vuidesign acts as a data processor under Art. 28 of the GDPR. The Client remains the data controller and is responsible for its site’s compliance (legal notices, cookies, privacy policy).

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by French law.

In the event of a dispute, the parties shall first seek an amicable resolution, then refer to mediation through the Centre de Médiation et d’Arbitrage de Paris (CMAP) before any legal action. Failing amicable resolution, exclusive jurisdiction is granted to the courts of Paris.
