Terms and Conditions

1. Purpose and Identity
These terms govern the web design and development services provided by Vuidesign, represented by Christian Sabourdy. By validating your order, you accept these terms. We operate between Paris and Ho Chi Minh City to provide maximum responsiveness.
2. Starter Pack Pro & Services
Vuidesign commits to a delivery within 10 business days for its Starter Pack Pro, subject to receiving all necessary materials (text, images, access). Our services are one-off deliverables, not subscriptions: the price fixed at the time of order is the final price, with no hidden fees.
3. Ownership and Transfer of Rights
Upon receipt of full payment, you become the exclusive owner of your website and its source files. Vuidesign transfers all copyrights to you. We retain ownership only of our internal tools and working methods.
Note: If a refund is issued, all rights immediately revert to us, and any use of the design is strictly prohibited.
4. Third-Party Materials
If your project requires paid assets (specific fonts, stock photos), Vuidesign will inform you. The acquisition of necessary licenses for the commercial use of these elements remains at your expense and under your responsibility.
5. Delivery and Commitment
The 10-day countdown begins upon the validation of the Narrative Strategy (Phase 1). Any delay in validation or provision of content on your part will push back the final delivery date accordingly. Our commitment is result-based: we mobilize our full expertise to deliver a ready-to-use tool within the agreed timeframe.
6. Portfolio and Confidentiality
Vuidesign reserves the right to showcase completed works in its portfolio and on social media as proof of expertise. If your project is confidential, you may request a Non-Disclosure Agreement (NDA) before the mission begins.
7. Governing Law
Even though we work globally, these conditions are governed by French law. In the event of a dispute, we prioritize mediation via the Paris Mediation and Arbitration Center (CMAP).
8. Service Terms and 10-Day Guarantee
8.1 Scope of Service
The Vuidesign service focuses on creating websites and visual identities through the “Starter Pack Pro.” This is a one-off service with a fixed rate determined at the time of order. No hidden fees or automatic renewals apply.
8.2 Triggering the 10-Day Deadline
The 10-business-day delivery guarantee is a commitment to speed. However, this period only begins once all required materials (text, images, technical access) have been provided by the Client and the Narrative Strategy has been validated in writing.
8.3 Client Responsibility
The Client acknowledges that meeting the delivery deadline depends on their own responsiveness. Any delay in providing content or intermediate validations will automatically postpone the final delivery date. If the Client stops responding for more than 30 days without cause, Vuidesign reserves the right to suspend the project.
8.4 Payment Terms and Disengagement Clause
Payment is due in full upon ordering to secure your spot in our schedule. However, if at the end of Phase 1 (Narrative Strategy), a mutual agreement on the project’s direction cannot be reached, Vuidesign agrees to refund 50% of the amount paid. This refund terminates the service, and all intellectual property rights remain the exclusive property of Vuidesign. Once the design phase (Phase 2) has begun, no refunds will be granted.
9. Technical Maintenance and Hosting (Optional)
9.1 Nature of Service Vuidesign offers an optional technical maintenance service to ensure site performance and security after launch. This is a technical assistance contract and does not constitute an obligation for editorial or creative consulting.
9.2 Inclusions
The maintenance service exclusively includes:
Hosting: The site is hosted on secure production servers located in Europe.
Backups: A full monthly backup of the site and its database.
Updates: Technical updates of the system and plugins to ensure security and compatibility.
9.3 Exclusions
To ensure our studio’s responsiveness, technical maintenance does not include:
Modifying or adding content (text, articles, images, videos).
Changes to design, layout, or adding new features. These will require a separate quote or a specific hourly pack.
9.4 Payment Terms
Maintenance is billed either quarterly or annually, at the Client’s choice. Payment is due at the start of the period. The contract has no fixed term and can be canceled by simple written notice before the next period begins.
9.5 Termination and Migration
Upon termination of maintenance, Vuidesign will provide the Client with a full backup of their files and database. The Client then becomes responsible for their own hosting. If the Client wishes Vuidesign to perform the technical migration to a new server, this service will be billed separately based on technical complexity.
